NON-DISCLOSURE AGREEMENT: A non-disclosure agreement (NDA) protects against the disclosure of confidential and proprietary information that is disclosed to another party during negotiations and before a formal agreement is signed. Non-disclosure provisions can also be part of any agreement with another party in which that party will obtain confidential and proprietary information.
TERM SHEET: There are innumerable versions of term sheets that differ according to the prospective contractual relationship between two parties. A term sheet will set forth the high level or key terms of an agreement so that the parties can determine whether a formal agreement is viable. Term sheets are generally non-binding.
PRIVATE PLACEMENT MEMORANDUM: A Private Placement Memorandum (“PPM”) is a disclosure document required by Regulation D and most states and contains important information for prospective investors. These documents are required whenever a company is offering securities, or equity interests of any kind or definition, to the public. Private Placement Memorandums are used in those instances in which a company is seeking an exemption from a formal filing with the Securities and Exchange Commission under SEC Rule 504, 505 or 506 of Regulation D.
INVESTOR QUESTIONNAIRE: The Investor Questionnaire is a document that is signed by prospective purchasers of equity interests in the company that details their financial position so that the company can determine if they satisfy the SEC criteria for “accredited” investor requirements.
SUBSCRIPTION AGREEMENT: The Subscription Agreement is signed by prospective investors who have agreed to purchase equity interests in the company according to the terms and conditions of the Private Placement Memorandum. It subscribes them to the amount of equity interests they are purchasing at the price set forth in the Private Placement Memorandum and it confirms their financial suitability to purchase the equity interests.
SHAREHOLDER AGREEMENT: Shareholder agreements are agreements that define the operation of a corporation, among other things, setting forth the terms and conditions of the transfer of shares by its shareholders, shareholder rights, and the authority of the officers of the corporation.
BYLAWS: The corporation’s bylaws specify various rights and procedures for shareholders, directors and officers of the corporation.
ACQUISITION AGREEMENT: An equity purchase agreement is used to purchase stock from another company.
SUBSCRIPTION AGREEMENT: An indemnification agreement is an agreement signed by the company and, in many situations, members of the board of directors or operating officers to indemnify them against any claims made by third parties during their tenure on the board of directors or as an operating officer.
SUBSCRIPTION AGREEMENT: A registration rights agreement pertains to the requirement of a company having to register its stock for sale to the public. In order for restricted shares to be released for sale, investors owning restricted shares require the company to file registration statements with the Securities and Exchange Commission and the appropriate state regulatory agencies within a specific time period.
SUBSCRIPTION AGREEMENT: An investor rights agreement restricts the transfer of shares to third parties.
SUBSCRIPTION AGREEMENT: A management rights agreement allows a third party, generally an investor in the business, to be consulted or to participate in management, financial, and/or operational aspects of the business. In some cases, the management rights agreement will specify the number of board positions available to the investor.
RIGHT OF REFUSAL AGREEMENT: The right of first refusal gives investors the first right to purchase equity interests in company upon the company issuing new equity interests to third parties.
SEC FORM D: To complete the federal securities exemption, a Form D must be electronically filed with the SEC within 15 days of the date of the first sale of the offering. Form D and its instructions can be found at the SEC’s website: http://www.sec.gov/about/forms/formd.pdf. Information about electronically filing Form D can be found at: https://www.onlineforms.edgarfiling.sec.gov.
BYLAWS: A corporation’s bylaws define the authority of the Board and management to carry out the purposes of the corporation.
OPERATING AGREEMENT: The operating agreement is used by a LLC and defines the authority of the manager and members to operate the LLC.
PARTNERSHIP AGREEMENT: The partnership agreement defines the authority of the partners and limited partners to operate the partnership.
PROMISSORY NOTE: The promissory note is used in a debt offering to reflect the terms of the company’s obligation to repay the loan.
STATE SECURITIES EXEMPTIONS: For each state, this document identifies state securities exemptions and the legend requirements, if any, to help you comply with state securities law.
